According to section 35 GmbHG, the duties of the managing director include the representation of the GmbH in and out of court.

According to section 6 (1) GmbHG, a GmbH must have one or more managing directors. The managing directors are authorised to represent the company externally. If more than one managing director is appointed, the managing directors represent the company jointly, unless otherwise specified. The extent of the managing director's power of representation is not expressly regulated in the GmbHG, but can be limited, for example, by the articles of association or rules of procedure.

Managing directors are subject to stricter liability than shareholders.

The same applies to the managing director of the UG (limited liability).
